These Terms explain how you may use the Sonoros website, downloads, licenses and related services.

We have written them in plain English because Sonoros is built for working professionals, not lawyers.

In these Terms, Sonoros, Software or App means the Sonoros software, website, documentation and related materials supplied by Peachy Ventures Ltd.

About Sonoros

Sonoros is professional software for monitoring, managing and controlling compatible audio, RF and routing systems.

The macOS application is distributed directly by Peachy Ventures. The iOS Remote app is distributed through Apple’s App Store as a free companion app.

Sonoros is free to download and can be used with the free channel allowance published on our website. Paid licenses unlock higher channel capacities and additional commercial use tiers.

Who may use Sonoros

You must be legally able to agree to these Terms.

If you use or buy Sonoros on behalf of a company, production, venue or organisation, you confirm that you have authority to do so and that the organisation will comply with these Terms.

Licenses

Sonoros commercial licenses are fixed-term licenses. They do not automatically renew.

A license may be purchased for a published period, such as a monthly or yearly term. When that term ends, you may continue using Sonoros within any free or remaining licensed limits, or purchase a new license term.

Installing a newer version of Sonoros does not extend, renew or replace an expired license.

License Dongles

Commercial licenses are normally stored on an authorised Sonoros USB License Dongle.

The License Dongle allows Sonoros to operate without continuous internet access or online license validation. This is intentional: Sonoros is designed for live production environments where computers may be offline during rehearsals and performances.

You are responsible for keeping your License Dongle safe. Lost, stolen or damaged License Dongles are not automatically replaced. We may provide a replacement at our discretion, and may require proof of purchase, dongle details or payment of a replacement fee.

Orders and payment

Orders are processed through Stripe. Prices, taxes, shipping charges and available payment methods are shown during checkout.

The iOS Remote app is free and does not contain in-app purchases.

You agree to provide accurate order, billing and shipping information.

We may correct pricing or product errors, refuse or cancel orders, limit quantities, or refuse orders that appear fraudulent, unauthorised, mistaken or intended for unauthorised resale.

For international orders, you are responsible for any import duties, customs charges, local taxes or courier handling fees unless checkout says otherwise.

Software updates

You may download and install future versions of Sonoros, whether or not you currently hold an active paid license.

We may change, improve, add or remove features over time. We aim to maintain compatibility and reliability, but we cannot guarantee support for every operating system, device, network configuration or third-party product indefinitely.

Support

We provide friendly human support by email and WhatsApp.

Normal support hours are published on our website. Support is provided on a reasonable best-effort basis and is not a guaranteed emergency service or service-level agreement unless we agree otherwise in writing.

For the iOS Remote app, Apple is not responsible for providing support.

Customer content and local production data

Sonoros may process information locally on your own systems, including audio history, channel names, show files, routing data, chat messages, player profiles, headshots, notes, logs and configuration data.

We do not receive this information unless you choose to send it to us, for example when requesting support.

You are responsible for making sure you have the rights, permissions and lawful basis needed to use, store, monitor, record, export or share any production information, audio, images, personal data or other content within Sonoros.

You retain ownership of your own show data and content.

Your responsibilities

Sonoros is intended for use by trained operators in professional environments.

You are responsible for:

• checking that Sonoros is suitable for your production;

• testing your system before relying on it during a show or event;

• maintaining suitable backups and operational procedures;

• checking third-party equipment, firmware and network configuration;

• ensuring your devices meet the required technical specifications;

• complying with applicable laws, venue rules and manufacturer requirements.

Sonoros is a tool to assist professional judgement. It is not a substitute for proper rehearsal, monitoring, redundancy or show-safe procedures.

Acceptable use

You must not:

• copy, redistribute or resell Sonoros except as allowed by law or agreed by us;

• bypass, tamper with or attempt to defeat licensing systems;

• reverse engineer, decompile or disassemble Sonoros except where the law allows;

• remove copyright, trademark or ownership notices;

• use Sonoros unlawfully or in a way that infringes someone else’s rights;

• misuse support channels or submit false reports;

• introduce malware, viruses or harmful code;

• scrape, data-mine or systematically copy website content without permission;

• interfere with our website, checkout, downloads or update services.

Export and sanctions

You must not use, export, re-export, supply or make Sonoros available in breach of applicable export control laws, trade sanctions or restricted-party rules.

Third-party products, websites and services

Sonoros works with selected third-party equipment and protocols. Those products are made by their respective manufacturers.

Unless we say otherwise, Sonoros is not endorsed by, sponsored by or affiliated with those manufacturers. Third-party names and trademarks belong to their owners.

We are not responsible for failures caused by third-party hardware, firmware, software, networks, operating systems or services outside our control.

Our website or support materials may link to third-party websites or services. Those are provided for convenience, and their own terms and privacy policies apply.

Intellectual property

Sonoros, including the software, website, documentation, design, branding and related materials, is owned by Peachy Ventures Ltd or its licensors.

Buying a license gives you permission to use Sonoros. It does not transfer ownership of the software or intellectual property.

Feedback, suggestions and bug reports may be used by us to improve Sonoros without payment or obligation to you.

Privacy

Our Privacy Policy explains what personal information we collect and, importantly, what Sonoros does not collect.

Consumer rights

Nothing in these Terms removes rights you have by law as a consumer.

Most Sonoros customers are businesses or professional users. If you buy as a business, you agree that consumer cooling-off rights do not apply unless required by law.

Availability and corrections

We aim to keep the website, downloads and support materials available and accurate, but we cannot guarantee they will always be available or error-free.

We may correct errors, update information, change prices, amend product details, or suspend parts of the website or services where needed.

Liability

We work hard to make Sonoros dependable, but no software can guarantee uninterrupted or error-free operation in every live environment.

To the fullest extent permitted by law, we are not liable for:

• indirect or consequential losses;

• loss of profit, revenue, business, goodwill or opportunity;

• production delays, show losses or event disruption;

• loss of data, audio, configuration or show files;

• failures caused by third-party equipment, networks, firmware or operating systems.

For business customers, our total liability arising from Sonoros is limited to the amount you paid us for the relevant license or product giving rise to the claim in the 12 months before the claim, unless the law does not allow that limitation.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or anything else that cannot legally be excluded.

Indemnity

If your misuse of Sonoros, breach of these Terms, unlawful use, or infringement of someone else’s rights causes a claim, loss or cost to us, you agree to reimburse us for the resulting reasonable losses and expenses.

This does not apply to consumers where the law does not allow it.

Electronic communications

You agree that emails, checkout confirmations, website notices and other electronic communications can satisfy legal requirements for written communications, unless the law requires otherwise.

General

If any part of these Terms is found to be invalid or unenforceable, the rest will continue to apply.

You may not transfer your rights under these Terms without our written permission. We may transfer our rights to another organisation if Sonoros or Peachy Ventures is reorganised, sold or transferred.

If we do not enforce a right immediately, that does not mean we give it up.

We are not responsible for delay or failure caused by events outside our reasonable control.

Changes

We may update these Terms from time to time. The latest version will be published on our website.

If a change materially affects an active paid license, we will try to handle it reasonably and fairly.

Governing law

These Terms are governed by the laws of England and Wales.

Where legally permitted, disputes will be handled by the courts of England and Wales. If you are a consumer in another country, you may also have mandatory local rights.
